Digital Product License Agreement

This Digital Product License Agreement explains how customers may use digital products purchased or downloaded from TooUps.

This licence applies to templates, AI prompts, prompt collections, Claude skills, automation resources, design assets, digital guides, e-books, checklists, workbooks, spreadsheets, code files, scripts and other downloadable or electronically delivered products available through TooUps.

By purchasing, downloading, accessing or using a TooUps digital product, you agree to follow this Digital Product License Agreement, our Terms and Conditions, Privacy Policy, Refund Policy and any product-specific licence displayed on the relevant product page.

1. Digital Product Licence

When you purchase a digital product from TooUps, you are purchasing permission to use that product under the applicable licence.

You are not purchasing ownership of the original digital product, copyright, trademark, source material or other intellectual property rights.

Unless a product page clearly states otherwise, TooUps grants you a:

  • Limited licence
  • Non-exclusive licence
  • Non-transferable licence
  • Revocable licence
  • Single-user licence

This means that other customers may purchase and use the same or similar digital product.

2. Products Covered by This Licence

This licence may apply to:

  • Digital templates
  • Canva templates
  • Social media templates
  • Website templates
  • Presentation templates
  • Business and marketing templates
  • AI prompts
  • Prompt bundles
  • Prompt libraries
  • Claude skills
  • AI workflows
  • Automation resources
  • Digital guides
  • E-books
  • Checklists
  • Workbooks
  • Planners
  • Spreadsheets
  • Documents
  • Graphics
  • Design assets
  • Code files
  • Scripts
  • Educational resources
  • Downloadable tools
  • Other digital products sold by TooUps

The specific licence included with a product may be shown on its product page, checkout page, download folder or licence file.

3. Default Licence

Unless a product page clearly provides different terms, each purchase includes a Single-User Commercial Licence.

Under this default licence, one individual may use the purchased product for:

  • Personal projects
  • Internal business projects
  • Marketing activities
  • Content creation
  • Client services
  • Freelance work
  • Agency work
  • Educational purposes
  • Productivity and workflow improvement

The original product file, editable source file, prompt collection, Claude skill or downloadable resource must not be shared, transferred, resold or distributed.

You may use the product to create permitted final work, but you may not sell or distribute the original or editable TooUps product itself.

4. Single-User Licence

A Single-User Licence allows one individual purchaser to access and use the product.

The purchaser may use the product on personally controlled devices, such as:

  • Personal computer
  • Work computer
  • Laptop
  • Tablet
  • Mobile device

The licence does not allow the purchaser to provide product access to:

  • Employees
  • Business partners
  • Freelancers
  • Contractors
  • Agency team members
  • Clients
  • Friends
  • Family members
  • Students
  • Community members

Every additional user must purchase a separate licence unless a Team Licence, Agency Licence or Extended Licence has been purchased.

One purchase does not provide unlimited-user or company-wide access.

5. Personal Use

You may use a TooUps digital product for personal and non-commercial projects.

Permitted personal use may include:

  • Personal planning
  • Personal social media content
  • Educational practice
  • Personal documents
  • Personal design projects
  • Personal AI workflows
  • Learning and skill development
  • Private organization and productivity

Personal use does not allow you to resell, redistribute or publicly share the original product files.

6. Commercial Use

Commercial use may be allowed under the default Single-User Commercial Licence or another commercial licence shown on the product page.

Permitted commercial use may include:

  • Using templates for your own business
  • Using prompts for your business operations
  • Creating marketing content
  • Creating social media content
  • Using Claude skills for internal workflows
  • Creating reports or documents
  • Using spreadsheets for business organization
  • Creating finished work for clients
  • Using resources as part of your professional service

Commercial use is only permitted when the customer creates a final result that does not expose, include or redistribute the original TooUps source material.

Examples of permitted final results may include:

  • A completed social media design
  • An exported PDF document
  • A completed business presentation
  • A published article
  • An edited marketing campaign
  • A completed customer report
  • AI-generated content reviewed and edited by the customer
  • A configured internal workflow
  • A finished website design
  • A completed client deliverable

7. Client Projects

A licensed customer may use certain TooUps products to create final work for clients.

When using a product for client work:

  • The customer must create a finished or customized result
  • The original source product must not be transferred to the client
  • The client must not receive reusable access to the TooUps product
  • The client must not resell or redistribute the product
  • The customer remains responsible for licence compliance

You may provide a client with an exported, completed or flattened final result.

You may not provide a client with the original editable template, prompt library, Claude skill, source code, automation file or complete TooUps download unless the client has purchased an appropriate licence.

For example, you may provide a client with an exported social media image, but you may not provide the original reusable template file unless separately permitted.

8. Team and Agency Use

The standard Single-User Licence does not allow shared access between multiple team members.

Businesses, agencies and organizations that need multiple users may require a:

  • Team Licence
  • Agency Licence
  • Multi-User Licence
  • Extended Licence
  • Enterprise Licence

The number of permitted users will be shown in the relevant licence description.

When a Team or Agency Licence is purchased:

  • Only the permitted number of users may access the product
  • Users must belong to the same licensed organization
  • Access must not be provided to unrelated businesses
  • Files must be stored securely
  • The product must not be uploaded to an unrestricted shared library
  • Former employees or contractors must lose access when they leave

Clients are not automatically considered licensed team members.

9. Extended Licence

Certain products may offer an Extended Licence.

An Extended Licence may provide additional rights, such as:

  • Use by multiple approved users
  • Use across multiple business projects
  • Use for a specified number of clients
  • Use in larger commercial campaigns
  • Use in selected end products
  • Additional distribution rights specifically described on the product page

An Extended Licence does not automatically transfer copyright ownership.

Unless expressly stated in writing, an Extended Licence still does not allow:

  • Reselling the original product
  • Claiming ownership of the original product
  • Uploading the product to a marketplace
  • Providing unlimited public access
  • Distributing source files
  • Creating a competing digital product

10. AI Prompts and Prompt Bundles

AI prompts and prompt bundles may be used to generate content for permitted personal, professional or commercial purposes.

You may:

  • Use purchased prompts privately
  • Edit prompts for your own workflow
  • Use prompts to generate content
  • Use generated content for permitted client work
  • Organize prompts within your private system
  • Customize prompts for your own business needs

You may not:

  • Resell individual prompts
  • Resell prompt bundles
  • Publish the complete prompt library
  • Share prompts in a public community
  • Upload prompts to a membership platform
  • Provide prompts as free downloads
  • Create a competing prompt product
  • Copy the structure and wording to build a similar bundle
  • Include purchased prompts in another product for resale

Editing, rearranging, translating or making minor changes to a TooUps prompt does not give you the right to resell or redistribute it.

AI-generated results may vary depending on the platform, model, input, settings, account type and platform updates.

11. Claude Skills and AI Workflows

Claude skills, AI workflows and related resources may be used for permitted personal or internal business activities.

You may:

  • Install the skill for your own licensed use
  • Customize settings for your workflow
  • Use it to support your business activities
  • Use generated results in permitted final projects
  • Create reasonable backup copies for your own use

You may not:

  • Resell the Claude skill
  • Share the installation file
  • Publish the configuration publicly
  • Provide unauthorized team access
  • Copy the skill to create a competing product
  • Upload it to a public repository
  • Offer it inside another paid bundle
  • Distribute modified versions
  • Remove TooUps ownership notices

Modifying a Claude skill or AI workflow does not transfer ownership or grant redistribution rights.

Claude and related features are operated by independent third-party platforms. TooUps does not control their subscriptions, features, availability, usage limits or future updates.

12. Templates and Design Assets

Templates and design assets may be customized for permitted personal, business or client projects.

You may:

  • Change text
  • Change colours
  • Add your own images
  • Add your own logo
  • Rearrange design elements
  • Export a finished design
  • Use the finished design in permitted marketing projects

You may not:

  • Resell the editable template
  • Share the editable source file
  • Make minor edits and sell it as your own template
  • Upload it to another template marketplace
  • Include it in a design membership
  • Offer it as a free resource
  • Claim ownership of the original design
  • Provide unrestricted editing access to clients
  • Use design elements to recreate a competing template bundle

A final exported design may be used where permitted, but the reusable source template must remain private.

13. E-books, Guides and Educational Resources

E-books, digital guides, workbooks, checklists and educational materials are licensed for the purchaser’s permitted use.

You may:

  • Read the material
  • Print a reasonable copy for personal use
  • Apply the information to your business
  • Complete included exercises
  • Use the knowledge within your professional services

You may not:

  • Republish the material
  • Copy complete sections
  • Sell summaries that reproduce the original content
  • Upload the file to a public website
  • Share it with students, employees or clients without permission
  • Record and sell the material as a course
  • Translate and resell the material
  • Include it in another e-book or guide

Brief quotations may only be used where legally permitted and with appropriate attribution.

14. Code, Scripts and Automation Files

Code, scripts and automation resources may be used according to the licence stated on the product page or included in the files.

You may be permitted to:

  • Install the code on your own project
  • Modify it for your own permitted use
  • Use it in an internal business workflow
  • Use it within a permitted client project
  • Create reasonable private backup copies

You may not:

  • Resell the source code as a standalone product
  • Share the source files publicly
  • Upload private code to a public repository
  • Remove licence or copyright notices
  • Create and sell a substantially similar competing product
  • Distribute modified copies unless expressly permitted
  • Share API keys, passwords or private credentials

Some code products may contain third-party or open-source components governed by separate licences.

Where a third-party licence applies, you must follow its conditions.

15. Spreadsheets, Documents and Business Resources

Spreadsheets, business documents, planners, checklists and workbooks may be customized for personal or internal business use.

You may use completed versions within your own business or provide permitted final documents to clients.

You may not:

  • Sell the original spreadsheet or document
  • Share an editable master file
  • Upload the resource to a template marketplace
  • Distribute copies to unrelated users
  • Create a competing template from the original structure
  • Offer the resource as a lead magnet or free download
  • Include the original file in another digital bundle

16. Finished End Products

A finished end product is a completed item created using a TooUps digital product.

A permitted end product should:

  • Include meaningful customization
  • Be created for a specific personal, business or client purpose
  • Not expose the original source material
  • Not allow the recipient to extract or reuse the original product
  • Not compete directly with the TooUps product
  • Not be offered as an editable or reusable digital resource

Changing only the product name, colour, font or a few words may not be considered meaningful customization.

A slightly modified copy of a TooUps product cannot be resold as a new digital product.

17. Prohibited Redistribution

Redistribution means sharing, transferring, publishing, uploading, giving away or selling the original product or a modified version that remains substantially similar.

You must not:

  • Email the files to another person
  • Share private download links
  • Upload files to Google Drive for public access
  • Upload files to Dropbox for public access
  • Upload files to public repositories
  • Post files in Facebook or WhatsApp groups
  • Share products through Telegram channels
  • Add products to membership websites
  • Offer products through online marketplaces
  • Include products in another digital bundle
  • Provide files as bonuses or giveaways
  • Trade products with other customers
  • Share one purchase between multiple users

Every person who needs access to the original product must hold an appropriate licence.

18. Resale and Competing Products

You must not use a TooUps product to create another product that competes with the original product.

Prohibited activities include:

  • Reselling original files
  • Selling modified source files
  • Rebranding and reselling the product
  • Translating and reselling the product
  • Dividing a bundle and selling individual items
  • Combining products into another resale bundle
  • Copying prompt structures
  • Copying template layouts
  • Copying Claude skill configurations
  • Reproducing guides or workbooks
  • Creating near-identical digital products

No private-label rights, master resale rights or resale rights are included unless clearly stated in writing.

19. No Private Label or Resale Rights

Unless a product is specifically advertised as including Private Label Rights, Resale Rights or Master Resale Rights, no such rights are granted.

A standard TooUps licence does not allow you to:

  • Put your name on the original product
  • Claim authorship
  • Sell the product under your brand
  • Transfer resale rights to customers
  • Allow customers to resell the product
  • Edit and republish the product as your own

20. Third-Party Elements

Some products may contain or reference third-party:

  • Fonts
  • Images
  • Icons
  • Software
  • Plugins
  • Platforms
  • APIs
  • Code libraries
  • Design resources
  • AI tools
  • Stock assets

Third-party elements may be governed by separate terms and licences.

Unless clearly stated, your TooUps purchase does not include ownership or a paid licence for third-party materials.

You are responsible for:

  • Reviewing third-party terms
  • Obtaining any required licence
  • Maintaining required subscriptions
  • Replacing demo assets where necessary
  • Confirming your intended use is permitted

21. Third-Party Trademarks

Names such as Claude, Anthropic, ChatGPT, OpenAI, Canva and other third-party brands belong to their respective owners.

References to third-party platforms are used only to describe compatibility, intended use or product functionality.

Unless clearly stated otherwise, TooUps is not:

  • Affiliated with these companies
  • Sponsored by these companies
  • Endorsed by these companies
  • An official partner of these companies

You must follow the relevant platform’s trademark, brand and usage rules.

22. AI-Generated Output

TooUps may provide prompts, skills or workflows that help users generate output through third-party AI platforms.

TooUps does not guarantee that AI-generated output will be:

  • Unique
  • Accurate
  • Complete
  • Error-free
  • Original
  • Legally protectable
  • Suitable for publication
  • Free from third-party claims
  • Accepted by a particular platform
  • Suitable for a specific professional purpose

You are responsible for reviewing, editing, fact-checking and approving all AI-generated output before using or publishing it.

You are also responsible for confirming that your use complies with applicable laws and third-party platform terms.

23. Confidential and Sensitive Information

Do not enter confidential, personal or sensitive information into AI prompts, Claude skills, code files or third-party platforms unless you have authority and appropriate protection.

This may include:

  • Passwords
  • API keys
  • Banking information
  • Customer personal information
  • Private business documents
  • Client trade secrets
  • Medical information
  • Legal records
  • Private identification documents

TooUps is not responsible for information that a customer voluntarily provides to a third-party platform.

24. Ownership of Customer Content

You retain ownership of original material that you independently create and add to a TooUps product, subject to applicable law and third-party terms.

This may include:

  • Your original written content
  • Your business logo
  • Your photographs
  • Your brand information
  • Your customer data
  • Your independently created graphics

Adding your own content to a TooUps product does not give you ownership of the underlying TooUps product.

TooUps retains ownership of its original templates, prompts, Claude skills, layouts, guides, systems, code and other proprietary material.

25. Product-Specific Licence

Some digital products may include licence terms that differ from this general agreement.

When a product-specific licence is provided, it may define:

  • Number of permitted users
  • Number of permitted projects
  • Client-use limitations
  • Commercial-use limitations
  • Distribution rights
  • Installation limits
  • Update rights
  • Support period
  • Geographic restrictions
  • Extended-use permissions

Where a product-specific licence conflicts with this general licence, the product-specific licence will apply to that product.

26. Licence Upgrades

Customers may be able to upgrade from a Single-User Licence to a Team, Agency, Commercial or Extended Licence.

An upgrade may require payment of the difference between:

  • The original licence price
  • The upgraded licence price
  • Any applicable processing charges

You must obtain the required licence before beginning use that exceeds your existing licence.

A licence upgrade does not legalize unauthorized use that occurred before the upgrade.

27. Licence Duration

The licence may continue for as long as:

  • The customer follows this agreement
  • The product has not been obtained fraudulently
  • The licence has not been terminated
  • The applicable product-specific terms remain satisfied

Third-party software or platform changes may affect whether a product continues to function.

Unless clearly stated, TooUps does not guarantee permanent compatibility with third-party platforms.

28. Product Updates

A purchase does not automatically include lifetime product updates unless the product page clearly states that updates are included.

TooUps may:

  • Update a digital product
  • Correct errors
  • Change file formats
  • Add or remove features
  • Replace a product
  • Discontinue a product
  • Sell major updated versions separately

Receiving an updated file does not expand your original licence unless TooUps provides written confirmation.

29. Licence Violation

A licence violation may include:

  • Unauthorized sharing
  • Unauthorized resale
  • Public distribution
  • Sharing download links
  • Exceeding permitted users
  • Creating competing products
  • Removing copyright notices
  • Misrepresenting ownership
  • Uploading products to marketplaces
  • Using products for illegal activities
  • Providing false payment information

TooUps may investigate suspected licence violations using available order, account, download and access records.

30. Licence Termination

TooUps may immediately suspend or terminate a licence when a customer violates this agreement.

After termination, the customer must:

  • Stop using the product
  • Remove unauthorized copies
  • Delete shared files
  • Stop distributing final products where legally required
  • Remove products from public platforms
  • Inform unauthorized users to delete the files

Termination does not prevent TooUps from taking further action regarding copyright infringement, payment fraud, unauthorized resale or other violations.

A terminated licence does not qualify for a refund.

31. Reporting Unauthorized Use

Customers, creators and rights holders may report suspected unauthorized use to TooUps.

A report should include:

  • Name of the product
  • Location of the unauthorized content
  • Description of the suspected violation
  • Screenshots or supporting evidence
  • Reporter’s contact information

Reports may be sent to info@tooups.com.

TooUps may review the report and take appropriate action.

32. Licence Changes

TooUps may update this Digital Product License Agreement when:

  • New product categories are introduced
  • Licensing options change
  • Third-party platform requirements change
  • Business practices change
  • Legal requirements change

The revised version will be published with an updated “Last Updated” date.

Licence changes will not normally remove rights already granted for a completed purchase unless required by law or necessary to address fraud, infringement or misuse.

33. No Transfer of Licence

A licence cannot be sold, gifted, transferred, assigned or sublicensed to another person or business without written approval from TooUps.

Selling your business, changing employment or completing a client project does not automatically transfer the licence.

The original purchaser remains the licence holder unless TooUps approves a transfer in writing.

34. Governing Terms

This Digital Product License Agreement forms part of the TooUps Terms and Conditions.

It should be read together with:

  • Terms and Conditions
  • Privacy Policy
  • Refund Policy
  • Product description
  • Checkout information
  • Product-specific licence terms

If a section of this agreement is found invalid or unenforceable, the remaining sections will continue to apply.
